Terms & Conditions

1. The seller

MinistryAlign ("MinistryAlign", "we", "us", or "our") is provided by Otech Labs LLC (Cody Ouellette, Sole Member) (the "seller"), trading as MinistryAlign. By using MinistryAlign, you ("user", "you") are entering into a binding agreement with the seller.

2. Acceptance

By accessing or using the service, creating an account, or completing a purchase, you agree to these Terms & Conditions and to our Privacy Notice. If you do not agree, do not use the service. If you are using the service on behalf of a church or organisation, you represent that you have authority to bind it to these terms.

3. The service

MinistryAlign is a web-based platform that helps churches understand and align their members and volunteers using spiritual gifts, DISC, passion assessments, and ministry matching tools.

4. Account responsibilities

You must provide accurate information, keep it up to date, and keep your account credentials confidential. You are responsible for all activity under your account.

5. Acceptable use — no misuse

You agree not to:

• use the service for any unlawful, deceptive, or fraudulent purpose;
• send spam or harass other users;
• infringe the intellectual property, privacy, or other rights of any person;
• interfere with the security or integrity of the service, including by uploading malware, probing for vulnerabilities, scraping at scale, or attempting to circumvent access controls or rate limits;
• reverse engineer, decompile, resell, or redistribute the service except as expressly permitted by law.

6. Intellectual property

The seller retains all right, title, and interest in and to the service, including the software, content, branding, and documentation. You receive a limited, non-exclusive, non-transferable right to use the service for its intended purpose during your subscription. You retain ownership of the content you upload, and you grant us a limited licence to host and process that content solely to provide the service.

7. Service availability

We work hard to keep the service reliable, but we do not guarantee that it will be uninterrupted, error-free, or available at all times. To the fullest extent permitted by law, all implied warranties (including merchantability and fitness for a particular purpose) are disclaimed.

8. Payment, subscriptions, and refunds — Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellations, and refund mechanics are governed by Paddle's Buyer Terms in addition to these terms. See our Refund Policy for details on requesting a refund.

9. Suspension and termination

We may suspend or terminate your access to the service if you materially breach these terms, fail to pay, create a security or fraud risk, or commit repeated or serious policy violations. You may cancel your subscription at any time; on termination, your right to use the service ends and we may delete or anonymise your data after a reasonable export window.

10. Liability

To the fullest extent permitted by law, our aggregate liability for any claim relating to the service is limited to the fees you paid in the twelve (12) months before the claim. We are not liable for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these terms limits liability that cannot be limited by law (such as fraud, death, or personal injury caused by negligence).

11. Indemnity

You agree to indemnify and hold harmless the seller from claims arising out of your content, your use of the service in violation of these terms, or your violation of applicable law.

12. Changes

We may update these terms from time to time. Material changes will be communicated through the service or by email. Your continued use of the service after the effective date constitutes acceptance.

13. Governing law

These terms are governed by the laws applicable at the seller's place of residence, without regard to conflict-of-laws principles. Disputes will be brought in the competent courts of that jurisdiction, except where mandatory consumer law grants you another venue.
